Jakarta, Perkumpulan Perancang dan Ahli Hukum Kontrak Indonesia (PAHKI) adalah organisasi yang mewadahi para perancang dan ahli hukum kontrak di Indonesia serta berkonsentrasi dalam pengembangan Sumber Daya Manusia di bidang hukum kontrak yang telah resmi didirikan berdasarkan Keputusan Menteri Hukum dan Hak Asasi Manusia Republik Indonesia No.AHU-0007931.AH 01.07 tahun 2018.

Putusan Mahkamah Konstitusi (MK) Nomor 18/PUU-XVII /2019 yang menafsir Pasal l5 ayat 2 dan 3 Undang-Undang 42 Tahun I999 tentang Jaminan Fidusia menimbulkan sejumlah dampak. Tidak hanya bagi lembaga pembiayaan yang tidak dapat Lagi melakukan eksekusi serta merta terhadap jaminan kebendaan bergerak berdasarkan akta fidusia jika suatu saat debitur melakukan wanprestasi, tapi hal ini juga berpotensi menimbulkan beban perkara baru bagi pengadilan negeri, Salah satu dampak yang akan terjadi adalah terganggunya lklim bisnis di sektor keuangan yang menggunakan jaminan kebendaan bergerak seperti fidusia.

Dalam rangka memberikan pemahaman mengenai kiat penyusunan perjanjian leasing yang tepat, Dewan Pimpinan Pusat Perkumpulan Perancang dan Ahli Hukum Kontrak Indonesia (DPP PAHKI) menggelar Seminar Nasional dengan Tema “Kiat Membuat Perjanjian Leasing tanpa Fidusia Pasca Putusan Mahknmah Konslitusi Nomor l8/PUU-XVllf20l9”.Gedung Sarinah Lantai 13 Menteng Jakarta.Selasa 11/2/2020..

Putusan MK terkait UU Fidusia

Esensi Putusan MK adalah menyatakan frosa Kekuatan eksekutorial” dan frasa “sama dengan putusan pengadilan yang berkekuatan hukum tetap’ dalam Pasal 15 ayat (2) dibatalkan.

Frasa tersebut ada dalam Sertifikat jaminan Fidusia.
Atas dasar ini sertifikat Jaminan fidusia tidak langsung dapat di eksekusi meski dibitur sudah cidera mengingat janji tidak bisa di tentukan secara sepihak oleh kreditur.

Apakah Perusahaan Leasing Perlu Khawatir?
Perusahaan leasing perlu khawatir karena dalam putusan MK ini kerap di sebut perusahaan leasing.
Apakah kedepan jaminan fidusia yang di dapat oleh perusahaan leasing tidak serta Merta bisa dieksekusi.

Eksisting Perjanjian Leasing.

Dalam kebanyakan perjanjian leasing
saat ini mengingat ada pinjam meminjam uang maka di tentukan barang jaminan. Barang jaminan kemudian di fidusiakan. Padahal perusahaan leasing tidak boleh memberi pinjaman dalam waktu yang panjang.

Perjanjian leasing ke depan tanpa Fidusia.Pasca putusan MK sebaiknya perusahaan leasing tidak membuat perjanjian pinjam meminjam untuk jangka waktu panjang sehingga tidak perlu bergerak yang jadi jaminan.

Perusahaan leasing akan meminta pengembalian uang kepada nasabahnya dengan menjual barang yang di beli oleh nasabahnya.

Beda Antara Kredit yang di berikan oleh bank dan leasing oleh perusahaan leasing.

Bank: perjanjian meminjam untuk waktu yang panjang ada barang yang di jadikan jaminan.

Leasing :Dasarnya adalah sewa beli bukan pinjam meminjam.pinjam meminjam hanya di berikan untuk memberi kemampuan nasabah membeli barang.

Setelah itu pinjam meminjam harus di lunasi dengan memjual barang yang di beli. Kemudian perusahaan leasing menyewakan kepada nasabah barang yang telah di beli dari nasabah.
Pada akhir sewa menyewa di lakukan jual-beli dari perusahaan leasing kepada nasabah.

Perjanjian leasing Empat Sub Perjanjian

1. Perjanjian Hutang Piutang
Perjanjian ini di gunakan untuk memungkinkan nasabah membeli barangnya
2. perjanjian jual beli Obyek
Perjanjian ini di gunakan untuk nasabah mendapatkan uang dari perusahaan leasing dengan catatan uang tersebut di kembalikan ke perusahaan leasing sebagai pelunasan hutang. Pengalihan hak atas keberadaan beralih dari nasabah ke perusahaan leasing meski tidak di lakukan pembalikan nama.(pembalikan nama hanya syarat administrasi).
3. Perjanjian sewa menyewa.
Perjanjian ini di lakukan agar nasabah dapat menggunakan barang yang telah di miliki oleh perusahaan leasing.
4. Perjanjian Pengikatan Jual Beli. Perjanjian ini untuk mengalihkan hak keberadaan dari perusahaan leasing ke nasabah. Perjanjian ini merupakan pengikatan karena di sepekati lebih awal dari saat transaksi di lakukan.

Jakarta, the Association of Indonesian Designers and Contract Law Experts (PAHKI) is an organization that facilitates the designers and contract law experts in Indonesia to concentrate on developing Human Resources in the field of contract law that has been officially established based on the Decree of the Minister of Law and Human Rights of the Republic of Indonesia No . AHU-0007931.AH.01.07 in 2018.

Decision of the Constitutional Court (MK) Number IS / PUU-XVIV2019 which interprets Article 15 paragraphs 2 and 3 of Law 42 of 1999 concerning Fiduciary Security has a number of impacts. Not only for financial institutions which can no longer carry out executions immediately for guarantees of movable material based on fiduciary deeds if one day the debtor defaults, but this also has the potential to create new case burdens for district courts, One of the impacts that will occur is the disruption of the business climates in the financial sector that uses movable material guarantees such as fiduciary.

In order to provide an understanding of the tips for preparing an appropriate leasing agreement, the Central Board of the Indonesian Association of Designers and Legal Experts (DPP PAHKI) held a National Seminar with the theme "Tips for Making Leasing Agreements without Fiduciary Post Constitutional Court Decision Number 18 / PUU-XVll/20l9 Sarinah Building 13th Floor Menteng Jakarta. MK Decisions related to Fiduciary Law

The essence of the Constitutional Court’s Decision is to declare that the executive power “and the phrase” the same as the court decision with permanent legal force “in Article 15 paragraph (2) is canceled.

The phrase is in the Fiduciary guarantee certificate.
On this basis, a fiduciary guarantee certificate cannot be executed immediately, even though it is difficult to repay, given that a promise cannot be determined unilaterally by a creditor.
 
Do Leasing Companies Have to Worry ?
Leasing companies need to worry because in this Constitutional Court ruling it is often referred to as leasing companies.

Existing Leasing Agreement.

In most leasing agreements
currently considering there is a loan and borrowing money, then the collateral is specified. The collateral is then fiduciated. Even though leasing companies cannot give loans for a long time.

After the Constitutional Court’s decision, the leasing company should not make a loan agreement for a long period of time so that there is no need to move into collateral. The leasing company will ask the customer for a refund by selling the goods bought by the customer.
The difference between a loan given by a bank and a leasing by a leasing company.
Bank: a loan agreement for a long time there is goods that are used as collateral.
Leasing: The basis is leasing and not lending and borrowing. Lending and borrowing are only given to give the customer the ability to buy goods.
After that the loan must be paid off by selling the items purchased. Then the leasing company rents out to the customer goods that have been purchased from the customer.
At the end of the lease, the sale is carried out by the leasing company to the customer.

Leasing Agreement Four Sub-Agreements

1. Accounts Payable and Receivable Agreements
This agreement is used to enable customers to buy goods
2. Object sale and purchase agreement
This agreement is used for customers to get money from the leasing company provided that the money is returned to the leasing company as a debt settlement. Transfer of rights over the existence of a switch from a customer to a leasing company even though no name reversal is done (name reversal is only an administrative requirement).
3. Lease agreement.
This agreement is made so that the customer can use the goods that have been owned by the leasing company.
4. Binding Agreement of Sale and Purchase. This agreement is to transfer the existence rights of the leasing company to the customer. This agreement is an agreement because it was approved earlier than when the transaction was made
